AI data room
What is an AI data room, and is it safe?
An AI data room uses AI to organize diligence documents, not just store them. ClosingVault’s AI is decision-only: it picks from fixed choices (which folder, which checklist item, which date) and never writes text, so there is no chatbot for your documents to leak through. Your documents never train an AI model, and redaction runs on fixed rules, not AI.

Decision-only AI means the AI only picks from fixed choices (which folder, which checklist item, which date) and never writes text.
What does ClosingVault’s AI do?
- Reads each document to file it: which folder, which checklist item, which period and date.
- Ticks the checklist item the document answers, so you see what is still missing.
- Files what it is confident about, and puts the rest in a one-click review queue for your team.
- Picks the folder to look in when someone asks the room a question.
What does it never do?
- Write text: no summaries, no answers in its own words, no chatbot.
- Say whether a deal is good.
- Train on your documents.
- Redact: redaction is rule-based, not AI.
- Receive the file itself.
Where do your documents go?
- Filing uses one contracted classification service, which doesn’t train on customer documents. It receives the file name, the source folder name and extracted text (excerpts for long documents), with long account-style numbers masked to the last four digits. It never receives the file itself.
- OCR, redaction and search all run on ClosingVault’s own servers.
- When someone asks the room a question, the same service picks which folder to look in; the search itself runs in ClosingVault’s own database, over the copy that person is allowed to see.
- Documents are encrypted at rest with AES-256-GCM envelope encryption: each document has its own key, and that key is wrapped by a master key kept apart from the files.
Step by step, from upload to viewing: how ClosingVault handles your documents.
What should you ask any AI data room vendor?
| Question | Why it matters | ClosingVault’s answer |
|---|---|---|
| Does the AI train on our documents? | Training can carry what a model read into what it later writes. | No. Your documents never train an AI model. |
| Which outside services see our documents, and what exactly do they get? | Every outside service is another place a document can be. | One contracted classification service (TypeSafe, named in the Privacy Policy). It receives the file name, the source folder name and extracted text, with long account-style numbers masked to the last four digits, never the file itself. |
| Does the AI generate text from our documents? | Generated text can repeat, summarize or misstate what it read. | No. The AI only picks from fixed choices and never writes text. There is no chatbot. |
| Does AI search respect each person’s permissions? | A search that reads the whole room can show a buyer what they were never granted. | Yes. Search runs in ClosingVault’s own database over the copy each person is allowed to see, not the original. |
| Is there an audit log? | You need to show later who saw what, and when. | Yes: hash-chained and append-only. The database refuses edits and deletes. |
How is an AI data room different from a traditional data room?
A traditional data room stores files; ClosingVault works them.
| Job | Traditional data room | ClosingVault |
|---|---|---|
| Getting files in | Someone renames and sorts every file | Drop the folder. It’s filed for you. |
| The AI | AI chat that can repeat what it read | Decision-only AI: it picks, it never writes |
| Scanned pages | Pictures nobody can search | Read, filed and searchable |
| The request list | A spreadsheet someone updates by hand | Ticks itself as files land |
| Items that don’t apply | Silence that looks like “done” | A document or the seller’s signed N/A |
| Versions | Drafts and finals side by side | Newest copy is current. Duplicates skipped. |
| Sensitive numbers | Someone blacks them out by hand, or forgets | Account numbers and SSNs blacked out automatically: one redacted copy for everyone |
| Security | A password on a folder | Every document encrypted at rest |
| Keeping everyone updated | Status emails written by hand | A one-page weekly update for each party, sent for you |
| Finding a document | Hunting through folders | Ask the Data Room: “show me every P&L” |
| Buyer access | Lingers after the deal dies | Always ends on a date you set |
| Exclusivity | Tracked in someone’s calendar | Countdown clocks; other buyers paused automatically |
| Who can say yes | Whoever clicks “accept” | Only the owners, by majority, with every decision confirmed |
| The record | Logs nobody can read | Plain-English activity log, tamper-evident |
| Knowing when it’s done | No idea | A time estimate the moment you upload, then live progress for filing, scans and redaction |
| Pricing | Per page or per user | The firm that opens the room pays; invited buyers, sellers and their teams are free and unlimited |
| The deal itself | NDA, LOI and buyers in other tools | Teaser to closing in one room |

When does another data room fit better?
- You want an AI that answers questions in words: ClosingVault deliberately has none. Ansarada’s AiDA answers natural-language questions about room documents (ansarada.com, checked 2026-11-03), and Papermark’s AI chat gives cited, permission-aware answers (papermark.com, checked 2026-11-03).
- You want AI to draft the folder structure before any upload: HelpRange’s free AI tool builds a folder index from a deal description (helprange.com, checked 2026-11-03).
- You need a certified vendor now: ClosingVault is not certified yet; Ansarada states a SOC 2 attestation (ansarada.com, checked 2026-11-03).
What is ClosingVault’s security status?
SOC 2 status: SOC 2 Type II is on the roadmap; ClosingVault is not certified.
In place today: AES-256-GCM envelope encryption with TLS in transit, a hash-chained, append-only activity log, a one-time emailed code for everyone plus an authenticator app for room admins, and rule-based redaction. Every detail: ClosingVault security.
AI data room questions
What is an AI data room?
An AI data room is a virtual data room that uses AI to organize diligence documents, not just store them: filing each one, matching it to the request list and showing what is missing. On ClosingVault the AI is decision-only and never writes text.
Does ClosingVault’s AI read my documents?
Yes, to file them. Filing uses one contracted classification service, which doesn’t train on customer documents. It receives the file name, the source folder name and extracted text (excerpts for long documents), with long account-style numbers masked to the last four digits. It never receives the file itself.
Does it train on my documents?
No. Your documents never train an AI model, and the classification service ClosingVault uses doesn’t train on customer documents.
Can the AI write or leak summaries?
No. ClosingVault’s AI only picks from fixed choices (which folder, which checklist item, which date) and never writes text. There is no chatbot.
What does Ask the Data Room return?
Documents, not answers. Ask the Data Room returns documents, not prose: it never answers in its own words and never says whether a deal is good, and it finds only documents the person asking is allowed to see.
Is ClosingVault SOC 2 certified?
Not yet. SOC 2 Type II is on the roadmap; ClosingVault is not certified.
Where are scans read?
On ClosingVault’s own servers. OCR, redaction and search all run on ClosingVault’s own servers; nothing is sent to an outside OCR service.
Which data rooms file documents to the checklist automatically?
ClosingVault files each document against the item on the diligence checklist it answers and ticks that item. Among the other vendors we checked on 2026-11-03, Ansarada sorts uploads into categories with AI, DocSend’s AI Organize suggests where each file goes in a folder tree, and Peony lists auto-indexing.
