A data room for selling a business in any industry
ClosingVault is the data room built only for lower-middle-market M&A, and it works for any industry. What changes from one industry to the next is what buyers ask for in diligence, so here is each one: the documents that matter most, what slows those deals down, and how the room handles it. A room with standard defaults is set up in about 3 minutes, and it’s fully customizable for any lower-middle-market deal up to $50 million.

Which industries does ClosingVault work for?
Every lower-middle-market business. These are the ones we have written up so far.
What stays the same in every industry?
The way the room runs. The seller drops in documents in batches as they turn up, and each one is read and filed by folder and period and ticked off on the checklist. Social Security, card and bank account numbers are removed from the file before a buyer looks. Each buyer opens one stage at a time, and an LOI is decided by owners holding more than half of the company. Everyone gets a one-page update every Monday.
What changes from one industry to the next?
The request list. A manufacturer’s buyer asks for equipment and maintenance records, a contractor’s buyer for backlog and WIP schedules, a practice buyer for payer mix and provider agreements. Start from the standard checklist and upload your own Excel list for the rest; every document still files itself.
What size of deal is it for?
The lower middle market, up to $50 million. More on the lower-middle-market data room, every plan and price, and ClosingVault next to seven low-cost data rooms.
Industry questions
My industry isn’t on this list. Will ClosingVault work for my sale?
Yes. ClosingVault works for the sale of any lower-middle-market business up to $50 million; these pages cover what buyers in each industry tend to ask for. Every room is customizable: upload your own Excel request list or add items as the deal grows.
Does ClosingVault have a separate checklist for each industry?
No. Every plan includes our standard due-diligence checklist, Plus and Professional include the ClosingVault checklist, and any room can start from your own Excel list with your industry’s items on it.
I’m a broker who works across several industries. Can I run all my listings from
one account?
Yes. Plus runs 3 active deal rooms at once and Professional runs 10, and the Rooms page shows every live room, the one with the most still missing first.
Is ClosingVault a fundraising data room or a board portal?
No. ClosingVault is built only for lower-middle-market M&A: the sale of a company, teaser to close, in any industry.
