Transportation and logistics M&A
Data room for selling a trucking or logistics company
ClosingVault is a data room for selling a carrier, freight brokerage, 3PL or warehousing company, for any lower-middle-market deal up to $50 million. Safety records, equipment titles, driver files and customer contracts go in by the batch, each is filed to the checklist item it answers, and labeled license and date-of-birth entries are removed before a buyer looks.

What do buyers of a trucking or logistics company ask for in diligence?
Transportation buyers want the safety story, the equipment, the drivers and the freight, in roughly that order.
-
Operating authority and safety records
Operating authority, safety rating, inspection and roadside history, and the public safety data a buyer will look up and ask you to explain.
-
Fleet list and titles
Every tractor and trailer with year, mileage and owned-or-leased status, titles, and maintenance records.
-
Drivers
The driver roster, company drivers and owner-operators, driver files, pay plans and turnover.
-
Customers and lanes
Customer and broker contracts, revenue by customer and lane, and fuel surcharge terms.
-
Insurance and claims
Auto liability and cargo policies, loss runs and open claims.
-
Warehousing for 3PLs
Warehouse leases, the warehouse management system, and customer service-level agreements.
What slows down a transportation deal?
Insurance and safety. Claims history drives what insurance will cost the buyer, and the safety record is public, so buyers arrive with questions about specific inspections and incidents.
Then the fleet and the people: equipment age and the capital it needs, driver turnover, how owner-operators are engaged, and a few customers that carry most of the freight. Each answer is a set of documents, and filing them by type and period keeps them findable.
How does ClosingVault handle a trucking or logistics sale?
Hundreds of titles and driver files, with personal numbers removed.
How fast can I set up a room for a transportation deal?
About 3 minutes with the standard checklist. It already asks for the Fixed Asset & Depreciation Schedule, Equipment Leases, the Independent Contractor Schedule & Agreements, the Employee Census, the General Liability & Property Insurance Policies and the Top 10 Customer Contracts. Add safety records and loss runs from your own Excel list. From there it’s fully customizable for any lower-middle-market deal up to $50 million: phases and dates, who can download, and when each buyer’s access ends. The free due diligence checklist is the same standard checklist, as an Excel download.
What does it cost?
Plans start at $79 a month, billed yearly (founding price). The firm that opens the room pays. Invited buyers, sellers, owners and their teams are always free and unlimited. Every plan and price, or see ClosingVault next to seven low-cost data rooms, step by step.
Transportation and logistics data room questions
I own a 60-truck carrier and a buyer wants our inspection history, driver files
and every equipment title. How do I get all that in without sorting it?
Drop it in as it is, in batches of any size: zips are unpacked, scans are read and each file is filed by what is on the page. Each upload ends with a summary of what was added, skipped or failed.
Our driver files have license numbers and dates of birth on them. Will buyers see
those?
No. Labeled driver’s license, passport and date-of-birth entries are removed automatically, along with Social Security numbers, before any buyer sees the file. Names stay visible on purpose.
We use owner-operators as well as company drivers. Where does that go on the
checklist?
The standard checklist asks for an Independent Contractor Schedule & Agreements and an Employee Census, so both groups have a place, and each document is filed to the item it answers.
I’m a broker selling a freight brokerage to a larger 3PL. Can I stop them
downloading our carrier and customer lists?
Yes. You decide person by person who may download; everyone else reads in a viewer stamped with their name and the time, with printing and copying suppressed.
We’re a family-owned logistics company and my mother still holds 55%. Does she
have to approve the LOI?
Yes. An LOI needs owners holding more than half of the whole company, and without her 55% the rest of you hold only 45%.
I’m the seller and the buyer’s team keeps calling for status. Can that be
automatic?
Yes. Every Monday at 8, each party gets its own one-page update on what came in and what is still missing, and the room admin can add the buyer in exclusivity.
