Terms of Service
These terms are an agreement between you and Digital Bridge Affiliates LLC, a Wyoming limited liability company (“ClosingVault”, “we”, “us”). By creating an account or using ClosingVault, you agree to them. If you use ClosingVault for a company, you confirm you can agree to these terms for it.
The service
ClosingVault is a virtual data room for business sales and acquisitions. A firm opens a room, uploads documents, and invites buyers, sellers and others into it. ClosingVault files documents against a due diligence checklist, hides sensitive numbers, controls who sees what, and keeps a record of activity. Our Privacy Policy explains how we handle information.
Accounts
You prove you own your email address with a six-digit code we email you. Admins also sign in with an authenticator app. Keep your sign-in details to yourself; you are responsible for what happens under your account. The firm that opens a room is responsible for the people it invites. People invited into a room use ClosingVault free of charge, under the terms of that room’s owner.
The free trial
A new account gets a 30-day free trial: no credit card, one active deal room and up to 250 documents. Each company gets one free trial. When the trial ends, the account becomes read-only unless you subscribe. What happens to your rooms is in the Privacy Policy.
Plans and prices
Our plans and prices are in the pricing page. We may change prices for new subscriptions at any time. A change to the price of a subscription you already hold takes effect at your next renewal, and we will tell you first.
Founding prices are offered to our first firms. A firm keeps its founding price for as long as it stays continuously subscribed. If the subscription ends and you come back later, the standard price applies.
Billing
You can pay month to month, or pay yearly for a 12-month commitment. Your subscription renews automatically at the end of each period until you cancel. Payments are processed by Stripe. You authorize us to charge your payment method each period, and you will keep it up to date.
Cancelling
You can cancel at any time from Billing in the admin app (choose Manage billing). Cancelling stops your next renewal, and your access continues until the end of the period you have already paid for. Cancelling does not delete your rooms or documents.
Refunds
We do not give refunds, on monthly or yearly plans. If you cancel, you keep access until the end of the period you have already paid for, and you are not charged again.
Your content
You own your documents and the rest of what you put in a room. You give us only the permission we need to run the service for you: to store, process, display and back up your content, to file and redact it, and to show it to the people you choose. You are responsible for having the right to upload what you upload, and for deciding who may see it.
Acceptable use
Please don’t:
- upload content that is unlawful, or that you have no right to share;
- upload malware or anything meant to damage the service or other people’s systems;
- try to break or get around our security, or to reach another customer’s data;
- resell or share access to ClosingVault outside your firm and the people you invite to a room;
- use invitations to send spam or unwanted messages.
We may suspend access to stop misuse.
AI and your checks
ClosingVault uses AI to file and organize documents. It does not give legal, financial or deal advice, and nothing it shows is advice. AI can be wrong, so you are responsible for checking where documents were filed and what the checklist shows.
Availability and liability
ClosingVault is provided “as is” and “as available”. We work to keep it running and your content safe, but we do not promise it will always be available or error-free.
To the fullest extent the law allows, we are not liable for indirect or consequential losses, such as lost profits or a lost deal, and our total liability for any claim relating to the service is limited to the fees you paid us in the 12 months before the claim arose.
Ending the agreement
You can stop using ClosingVault at any time. We may suspend or end your access if you break these terms and do not fix it after we tell you, or immediately if the breach is serious or puts others at risk.
Affiliate program
If you join our affiliate program, its rules are on the affiliates page and apply in addition to these terms.
Governing law
These terms are governed by the laws of the State of Texas.
Changes to these terms
We may update these terms. We will post the new version here with a new date, and tell account owners by email before a material change takes effect. If you keep using ClosingVault after that, you accept the new terms.
