Everything a lower-middle-market sale needs, in one data room.

ClosingVault is the data room built only for lower-middle-market M&A. We do one thing, and we do it better than anyone else. A room with standard defaults is set up in about 3 minutes, and it can be customized for any lower-middle-market deal up to $50 million. Here is every feature, one page each.

What protects every room?

Every document is encrypted at rest with AES-256-GCM using its own key, and that key is itself encrypted with a master key kept apart from the files. Who opened, downloaded or changed what is written to a hash-chained activity log. Downloads are allowed person by person, everyone else reads in a viewer stamped with their name and the time, and buyer access always expires. SOC 2 Type II is on the roadmap; ClosingVault is not certified. Every security fact.

Who is it for?

Business brokers and M&A advisors running several sales at once, owners selling their company with a broker or on their own, and buyers running diligence on a target: intermediaries, sellers, buyers. More on why the size of the deal matters: the lower-middle-market data room.

How do the features work together on a real deal?

Each one answers a common reason deals stall, from nobody knowing where diligence stands to late documents and leaks: why M&A deals fall through, and the fix for each. Already mid-deal in a drive or another room? Move a deal in progress in about 5 minutes.

Feature questions

What is ClosingVault built for?

Lower-middle-market M&A, and only that. It is not a fundraising data room or a board portal: it runs a business sale from teaser to close in one room.

How long does it take to set up a room?

About 3 minutes with the standard defaults. From there a room can be customized for any lower-middle-market deal up to $50 million: your own checklist, phases and dates, and access buyer by buyer.

Which features are on the cheapest plan?

Starter includes AI filing, automatic redaction, owner voting and exclusivity, Q&A and weekly updates, with 50 Ask the Data Room questions a day, for $79 a month billed yearly (founding price).

Who pays for the room?

The firm that opens the room pays. Invited buyers, sellers, owners and their teams are always free and unlimited.
