Home and field services M&A

Data room for selling an HVAC, plumbing or electrical business

ClosingVault is a data room for selling a home or field services company, HVAC, plumbing, electrical and the trades around them, for any deal up to $50 million. The owner keeps running jobs while documents go in as phone photos and exports; each one is filed to the checklist item it answers, and the partners decide the LOI by their share of the company.

What do buyers of an HVAC or plumbing company ask for in diligence?

Buyers of home-services companies, often private equity platforms, look for repeatable revenue, licensed people to deliver it and the trucks to get them there.

  • Revenue by line of business

Service, repair, replacement and new construction, split between residential and commercial, because each line carries a different margin and a different future.

  • Service agreements and memberships

The maintenance-agreement roster: how many, what each includes, what they cost and how often customers renew.

  • Technicians and licenses

The technician roster with licenses and certifications, who holds the contractor license the company works under, and the pay and commission plans.

  • Fleet

Every van and truck with year and mileage, titles or leases, and maintenance records.

  • Job and call history

Reports from the field-service software: call volume, average ticket, close rates by technician and callbacks.

  • Marketing and lead sources

Where the calls come from, what each source costs, and any manufacturer dealer or rebate programs.

What do buyers worry about in a home-services sale?

Whether the business runs without the owner. In many trades companies the owner holds the license, sells the big replacement jobs and knows every commercial customer, and a buyer will ask what happens to each of those after closing.

The next questions are about the numbers behind the story: a membership count that doesn’t tie to what is billed, seasonality that makes one strong summer look like a trend, and technician turnover. Clean exports from the field-service software, filed by period, answer most of them before they are asked.

How long does it take to open a room for a home-services sale?

About 3 minutes with the standard checklist. It already asks for Business Operating Licenses & Permits, the Employee Census, Commission & Bonus Plans, the Workers’ Compensation Policy & Experience Mod, the General Liability & Property Insurance Policies and Price Lists & Rate Cards. Add your membership roster and fleet list from your own Excel list. From there it’s fully customizable for any lower-middle-market deal up to $50 million: phases and dates, who can download, and when each buyer’s access ends. The free due diligence checklist is the same standard checklist, as an Excel download.

What does it cost?

Plans start at $79 a month, billed yearly (founding price). The firm that opens the room pays. Invited buyers, sellers, owners and their teams are always free and unlimited. Every plan and price, or see ClosingVault next to seven low-cost data rooms, step by step.

HVAC, plumbing and electrical data room questions

I own a $12 million HVAC company with two partners and a PE buyer wants diligence done in 60 days. How do we keep it on schedule?

Split the checklist into phases with start and due dates; each document you upload is filed to the item it answers, so the Missing count shows exactly what’s left. Every Monday at 8, each of you gets a one-page update on what came in and what’s still needed.

My partners and I own our plumbing company 40/35/25. Can the 40% partner accept the LOI on his own?

No. An LOI is accepted, countered or declined only when owners holding more than half of the whole company approve, so 40% alone is never enough; any two of you together are.

I’m a broker who only sells home-services companies and I have five listings live. How do I see which seller is behind?

Open the Rooms page: every live room is on one page, the one with the most still missing first, with its documents to review and its buyers. Professional runs 10 active deal rooms at once and Plus runs 3.

Our truck titles and license certificates are phone photos in a group text. Can I just upload them?

Yes. Images and scanned PDFs are read with OCR and filed by what is on the page, not the file name, and a file that can’t be read is flagged so you can send a readable copy.

The buyer wants our payroll reports, and they show every technician’s Social Security number. What happens to those?

They are removed from the file automatically before any buyer sees it. Names stay visible on purpose, because a buyer is entitled to see who the employees are.

We’re an electrical contractor with no real estate and no equipment leases. Do those checklist items just sit there?

No. You close each one by signing that it doesn’t apply, and the statement stays on the record with your name, the time and your exact words.
