Environmental and waste services M&A
Data room for selling a waste or environmental services company
ClosingVault is a data room for selling a hauling, roll-off, recycling, transfer or environmental services company, for any lower-middle-market deal up to $50 million. Permit binders, site reports, municipal contracts and fleet files go in as scans and exports, and each is filed to the checklist item it answers.

What do buyers of a waste or environmental services company ask for in diligence?
Waste buyers, often national or regional consolidators, buy permits, routes and contracts, and they read the environmental file closely.
-
Permits and operating authority
Permits for hauling, transfer, processing, disposal, air and stormwater, with renewal dates and conditions.
-
Environmental reports and compliance history
Site assessments on owned property, inspection reports, and any notices of violation with how each was resolved.
-
Customer contracts and routes
Municipal and commercial contracts with term and rebid dates, residential subscription counts, and route density.
-
Disposal arrangements
Where the waste goes, disposal agreements and tipping fees.
-
Fleet and containers
Trucks with year and condition, container counts by type, and maintenance records.
-
Closure and financial assurance
For permitted sites: closure and post-closure obligations and the bonds or letters of credit that back them.
What do buyers dig into on a waste deal?
Permits and the environmental file. The permits are much of what a buyer is paying for, so it wants to see each one, its conditions and its renewal date, along with the history of inspections and violations on every site.
Then the revenue under contract: municipal contracts that come up for rebid, disposal costs that depend on someone else’s facility, and a fleet that may need replacing. The documents answer each question, and filing them by type keeps them easy to produce.
How does ClosingVault handle a waste services sale?
Permit binders read and filed; the AI never flags or judges.
How long does it take to set up a room for a waste or environmental deal?
About 3 minutes with the standard checklist. It already asks for Environmental & Health Permits, Business Operating Licenses & Permits, Regulatory & Government Correspondence, Settlement Agreements & Consent Decrees, the Fixed Asset & Depreciation Schedule and the Top 10 Customer Contracts. Add disposal agreements and financial assurance from your own Excel list. From there it’s fully customizable for any lower-middle-market deal up to $50 million: phases and dates, who can download, and when each buyer’s access ends. The free due diligence checklist is the same standard checklist, as an Excel download.
What does it cost?
Plans start at $79 a month, billed yearly (founding price). The firm that opens the room pays. Invited buyers, sellers, owners and their teams are always free and unlimited. Every plan and price, or see ClosingVault next to seven low-cost data rooms, step by step.
Environmental and waste services data room questions
I own a $22 million roll-off and hauling company and a consolidator wants every
permit we hold. Can my office manager just upload the permit binder scans?
Yes. Scanned pages are read with OCR and each permit is filed by what is on the page, and the standard checklist already has an Environmental & Health Permits item for them.
Our municipal contracts come up for rebid next year. Can the room flag that for
buyers?
No. ClosingVault’s AI files and finds the contracts but never flags risks or judges a deal; the buyer reads the terms and brings the analysis.
We had a notice of violation years ago that was resolved. Where does it go?
The standard checklist has a Regulatory & Government Correspondence item, and the notice and its resolution are filed to the item they answer. When the AI isn’t sure, a person on your team decides.
I’m a broker with a waste client whose three owners don’t agree on the buyer. How
does the vote work?
By ownership. Each owner’s vote counts by their share, and an LOI is accepted, countered or declined only when owners holding more than half of the company approve.
I’m the buyer’s environmental consultant and only need the site reports. Can I get
just those?
That is the room admin’s call. They can invite you with your own access: the document areas you can see, whether you may download, and how long your access lasts.
When the deal closes, what happens to the data room?
The room admin archives it: the room stays on file, read-only, and its slot frees up for the next deal.
