Dental practice M&A

Data room for selling a dental practice

ClosingVault is a data room for selling a dental practice, to a DSO, a private equity platform or another dentist, for any deal up to $50 million. Monthly reports from the practice-management software go in as they are exported, each is filed by period against the checklist, and several DSOs can each see only the stage they have reached.

What do buyers of a dental practice ask for in diligence?

Dental buyers look at the chairs from two sides: what each provider produces, and what each payer pays for it.

  • Production and collections by provider

Doctor and hygiene production, collections and adjustments by month, usually for three years.

  • Payer mix and fee schedules

The split between PPO plans, fee-for-service and government plans, with the fee schedule for each PPO.

  • Active patients and new-patient flow

Active patient counts, new patients per month and hygiene reappointment, from the practice-management system.

  • Associate agreements

Compensation and terms for associate dentists, and whether the selling dentist will stay on after closing.

  • Equipment and technology

Chairs, imaging and scanners with their age, ownership or lease, and service contracts.

  • Office lease

The lease term, renewal options and what the landlord’s consent requires on a sale.

  • Staff

Hygienists, assistants and front office: pay, benefits and tenure.

What slows a dental practice sale?

The selling dentist’s own production. When the owner produces much of the dentistry, a buyer wants to know how long they will stay and who will take over their patients, and the answer shapes the deal.

After that, the paper: PPO fee schedules that are hard to find, a lease with only a few years left, and practice-management reports that don’t match the bank deposits. Each is a question a buyer will ask, and each is easier when the reports are filed month by month.

How quickly can I open a room for a dental practice sale?

About 3 minutes with the standard checklist. It already asks for the Real Estate Lease Agreements, Equipment Leases, Key Employee & Executive Agreements, the Employee Census, the Employee Benefit Plan Summaries and the Professional Liability (E&O) policy. Add production and fee-schedule items from your own Excel list. From there it’s fully customizable for any lower-middle-market deal up to $50 million: phases and dates, who can download, and when each buyer’s access ends. The free due diligence checklist is the same standard checklist, as an Excel download.

What does it cost?

Plans start at $79 a month, billed yearly (founding price). The firm that opens the room pays. Invited buyers, sellers, owners and their teams are always free and unlimited. Every plan and price, or see ClosingVault next to seven low-cost data rooms, step by step.

Dental practices data room questions

I own a $4 million general dentistry practice and two DSOs want to see our numbers. Can each one see only what their stage allows?

Yes. Each buyer opens one stage at a time: signing the NDA in the room opens the CIM, and a submitted LOI opens diligence.

My office manager exports production reports from our practice software every month. Will they get filed in order?

Yes. Each file is read and filed by folder and period, whatever its name, and a clearly newer copy for the same period becomes the current version.

I’m a dental practice broker with six listings. Can I run them all from one account?

Yes, on Professional, which runs 10 active deal rooms at once; Plus runs 3. The Rooms page shows every live room, the one with the most still missing first.

My associate and I each own half the practice. Can she accept a DSO’s LOI while I’m on vacation?

No. An LOI needs owners holding more than half of the whole practice, so a 50/50 split never approves on one vote.

The DSO’s team keeps emailing for status. Is there a way to stop the back-and-forth?

Yes. The room admin can add the buyer in exclusivity to the Monday update, a one-page status every Monday at 8, and between Mondays buyers are told once a day at most when new documents open to them.

Our payroll reports show staff Social Security numbers. Do I need to black them out first?

No. Social Security numbers and taxpayer IDs are removed from the file automatically, not just covered, before a buyer sees it.
