Data room for selling an MSP or IT services company

ClosingVault is a data room for selling a managed service provider or IT services firm, for any lower-middle-market deal up to $50 million. Client agreements, recurring-revenue reports and security policies go in by the folder or the zip, each is filed to the checklist item it answers, and buyers see only the stage they have reached.

What do buyers of an MSP ask for in diligence?

An MSP is bought for its recurring revenue, so buyers want proof that it recurs, what it costs to deliver, and that the provider itself is secure.

  • Recurring revenue schedule

Monthly recurring revenue by client with contract terms and renewal dates, separated from project work and hardware resale.

  • Client agreements

Master service agreements and statements of work: term, auto-renewal, termination rights and price increases.

  • Client concentration and churn

Revenue by client over several years and the clients that left, with the reasons.

  • Vendor and distributor agreements

The tools and licenses the service runs on, reseller agreements and what each costs per seat.

  • The company’s own security

Security and privacy policies, backup and recovery plans, incident history and cyber insurance.

  • Technical staff

Engineers and help-desk staff with certifications, on-call arrangements and who holds the key client relationships.

What do buyers dig into on an MSP deal?

How much of the recurring revenue is under contract. Month-to-month clients, agreements nobody signed and contracts with easy termination rights all count for less, so buyers read the client agreements one by one.

Then delivery cost and security: tooling and licensing that grow faster than revenue, a founder who is still the senior engineer, and any incident at the provider itself. The standard checklist asks about data breaches, ransomware and outages in the past 3 years, so that answer is on the record before a buyer asks.

How long does it take to set up a room for an MSP deal?

About 3 minutes with the standard checklist. It already asks for the Top 10 Customer Contracts, the Software & SaaS Subscriptions Inventory, the IT Hardware & Network Inventory, Information Security & Privacy Policies, the Backup & Disaster Recovery Plan and the Cyber Liability & D&O Insurance Policies. Add your recurring-revenue schedule from your own Excel list. From there it’s fully customizable for any lower-middle-market deal up to $50 million: phases and dates, who can download, and when each buyer’s access ends. The free due diligence checklist is the same standard checklist, as an Excel download.

What does it cost?

Plans start at $79 a month, billed yearly (founding price). The firm that opens the room pays. Invited buyers, sellers, owners and their teams are always free and unlimited. Every plan and price, or see ClosingVault next to seven low-cost data rooms, step by step.

IT services and MSPs data room questions

I own an MSP with about $3 million in recurring revenue and a PE platform wants every client agreement. Can I upload the whole folder of signed MSAs?

Yes. Drop in the folder or a zip as it is; each agreement is read and filed to the checklist item it answers, and the upload summary says what was added, skipped or failed.

The buyer’s security team wants our backup plan and incident history. Is that on the checklist?

Yes. The standard checklist asks for Information Security & Privacy Policies and a Backup & Disaster Recovery Plan, and asks whether the company has had any data breaches, ransomware attacks or significant system outages in the past 3 years.

I’m a broker selling an IT services firm to a competitor. How do I keep the client list from walking out the door?

You decide person by person who may download. Everyone else reads in a viewer stamped with their name and the time, with printing and copying suppressed.

My co-founder and I own our MSP 60/40. Can I accept an LOI without him?

Yes. At 60% you hold more than half of the whole company, so your approval alone meets the majority, and every decision asks “Are you sure?” before it goes through.

I’m buying an MSP. Will ClosingVault tell me which client contracts have change-of-control clauses?

No. ClosingVault’s AI organizes, never opines: it files and finds the agreements, and the standard checklist asks the seller whether key agreements have change-of-control or anti-assignment clauses; reading them is your analysis.

Our buyer wants to start diligence on Monday. How long does a room take to set up?

About 3 minutes with standard defaults. After that every part is customizable, from the checklist to who can download.
