Insurance agency M&A
Data room for selling an insurance agency
ClosingVault is a data room for selling an independent insurance agency or brokerage, for any lower-middle-market deal up to $50 million. Agency-management exports, carrier agreements and commission statements are filed to the checklist as they arrive, and account numbers on the statements are removed before a buyer looks.

What do buyers of an insurance agency ask for in diligence?
An agency is bought for its book, so buyers want to see the book, what it pays and who controls it.
-
Book of business
Policies in force by line, personal, commercial and benefits, with premium, commission and carrier, and retention history.
-
Carrier agreements and commission schedules
The agreement with each carrier, the commission schedule, and any contingent or profit-sharing commission.
-
Commission statements
Carrier commission statements reconciled to the revenue in the financial statements.
-
Producer agreements
Who owns or controls each book, producer compensation, and non-solicit agreements.
-
Agency-management system data
Exports showing policy counts, renewal dates and accounts by producer.
-
E&O and licenses
The agency’s errors-and-omissions policy, claims history, and agency and producer licenses.
What do buyers look hardest at in an agency sale?
Who controls the book. When producers have their own arrangements over the accounts they write, a buyer needs to know which revenue stays with the agency, and the producer agreements answer it.
Then the quality of the commission: contingent income that swings year to year, carrier agreements that need the carrier’s approval for a new owner, and commission statements that don’t reconcile to the books. Statements filed by carrier and period make that reconciliation a task, not a hunt.
How does ClosingVault handle an agency sale?
The book filed by carrier and period; the valuation stays yours.
How long does it take to open a room for an agency sale?
About 3 minutes with the standard checklist. It already asks for Commission & Bonus Plans, Key Employee & Executive Agreements, the Non-Compete, Non-Solicit & Confidentiality Agreements, the Professional Liability (E&O) policy, Business Operating Licenses & Permits and the Joint Venture, Referral & Reseller Agreements. Add carrier and book-of-business items from your own Excel list. From there it’s fully customizable for any lower-middle-market deal up to $50 million: phases and dates, who can download, and when each buyer’s access ends. The free due diligence checklist is the same standard checklist, as an Excel download.
What does it cost?
Plans start at $79 a month, billed yearly (founding price). The firm that opens the room pays. Invited buyers, sellers, owners and their teams are always free and unlimited. Every plan and price, or see ClosingVault next to seven low-cost data rooms, step by step.
Insurance agencies data room questions
I own an independent P&C agency with about $4 million in commissions and an
aggregator wants our book by carrier. Can I upload exports from our
agency-management system?
Yes. Upload spreadsheet and CSV exports in batches of any size; each is filed by topic and period and stays in its own format, even after redaction.
Our carrier commission statements show the agency’s bank account numbers. Will
buyers see them?
No. Bank account numbers on statements are removed automatically, keeping the last four digits, before any buyer sees the document.
I’m a producer with a 20% stake in the agency. Do I get a vote on the LOI?
Yes, when the room admin enters you as an owner with your share. Each vote counts by ownership until owners holding more than half of the company approve.
I’m buying agencies as a platform and do several deals a year. Can I reuse my
request list?
Yes, on Professional, which saves checklists you can reuse on every deal. On Starter and Plus you upload the workbook when you open each room.
Can I keep our producer agreements hidden from buyers until we have an accepted
LOI?
Yes. The room admin can hide any single document from buyers in one click, and diligence opens to a buyer only after a submitted LOI.
Will ClosingVault tell the buyer what my book is worth?
No. ClosingVault’s AI organizes, never opines: it files and finds the documents, and the valuation stays with the buyer and your advisors.
