What do buyers of a staffing company ask for in diligence?
Staffing is a payroll business with a sales team, so buyers follow the hours, the rates and the risk that comes with employing a large workforce.
-
Revenue and gross margin by client
Revenue, bill rates, pay rates and margin by client and by type of placement: temporary, temp-to-hire, direct hire and payrolling.
-
Client agreements
Master agreements with markups, conversion fees and terms, including vendor-management programs.
-
Payroll and payroll taxes
Payroll registers and payroll tax filings, and unemployment tax rates by state.
-
Workers’ compensation
The policy, experience mod, loss runs and how each worker is classified.
-
Working capital and financing
Receivables aging and any credit line or receivables financing that funds payroll before clients pay.
-
Recruiters and internal staff
Recruiter compensation, non-solicit agreements, and the applicant tracking data the desk runs on.
Where do staffing deals get stuck?
Workers’ compensation and payroll. Claims history and how workers are classified drive the cost of insurance, and payroll tax filings across states are a lot of paper; buyers want all of it, and it is full of Social Security numbers.
Then working capital and concentration. Payroll goes out every week while clients pay later, so the working capital level at closing matters, and a few clients often make up a large share of hours.
How does ClosingVault handle a staffing company sale?
Payroll files redacted in their own format, before anyone looks.
How quickly can a staffing data room be ready?
About 3 minutes with the standard checklist. It already asks for the Workers’ Compensation Policy & Experience Mod, the Employee Census, the Independent Contractor Schedule & Agreements, the Accounts Receivable Aging Schedule, the Line of Credit Agreement and the Top 10 Customer Contracts. Add payroll tax and margin-by-client items from your own Excel list. From there it’s fully customizable for any lower-middle-market deal up to $50 million: phases and dates, who can download, and when each buyer’s access ends. The free due diligence checklist is the same standard checklist, as an Excel download.
What does it cost?
Plans start at $79 a month, billed yearly (founding price). The firm that opens the room pays. Invited buyers, sellers, owners and their teams are always free and unlimited. Every plan and price, or see ClosingVault next to seven low-cost data rooms, step by step.
Staffing data room questions
I own a $35 million light-industrial staffing company and the buyer wants three
years of payroll registers with thousands of Social Security numbers. What happens
to them?
ClosingVault removes Social Security numbers and taxpayer IDs from each file before any buyer sees it. Every redacted copy is checked again, and a copy is held back if any hidden value can still be found.
Our payroll registers are huge Excel files. Will redaction turn them into PDFs?
No. Excel, Word, PowerPoint, CSV, PDF and image files are each redacted in their own format, so a spreadsheet stays a spreadsheet.
Is the workers’ comp experience mod on the standard checklist?
Yes. The standard checklist asks for the Workers’ Compensation Policy & Experience Mod, along with an Employee Census and an Independent Contractor Schedule & Agreements.
I’m a broker with a staffing client whose buyer wants a status call every week.
Can that be automatic?
Yes. Every Monday at 8, the broker, the deal team and each seller get their own one-page update, and the room admin can add the buyer in exclusivity.
I’m a search funder buying a staffing firm. Can my lender see only the financials?
Yes. In a room you run, invite each person with their own access: the document areas they can see, whether they may download, and how long their access lasts.
Our biggest client agreement has unusual markup terms. Can I keep it from buyers
until later?
Yes. The room admin can hide any single document from buyers in one click, and diligence opens to a buyer only after a submitted LOI.
