Data room for selling a food or beverage manufacturing business

ClosingVault is a data room for selling a food or beverage maker, from a co-packed brand to a company with its own plant, for any lower-middle-market deal up to $50 million. Audit reports, retailer agreements, deduction spreadsheets and trademark files are filed to the checklist as they arrive, and a competitor can read your formulas without taking them home.

What do buyers of a food or beverage company ask for in diligence?

Food buyers want to know the product is safe, the brand is owned, the retail shelf is secure and the trade spend is counted.

  • Food safety program and audits

Third-party food safety audit reports and certificates, the food safety plan, and sanitation and environmental monitoring records.

  • Inspections, recalls and complaints

Regulatory inspection reports and responses, any recall or withdrawal history, and customer complaint logs.

  • Retail, distributor and co-packer agreements

Agreements with retailers and distributors, slotting and promotional commitments, and co-manufacturing agreements.

  • Trade spend and deductions

Promotions, chargebacks and retailer deductions, and how each is accrued.

  • Formulas and brand

Who owns the formulas and recipes, and the trademark registrations for each brand.

  • Inventory and lots

Raw materials, packaging and finished goods with shelf life, and lot tracking.

  • Plant and capacity

Production lines, capacity, maintenance, and the facility’s permits.

What slows a food and beverage sale?

Trade spend. Retailer deductions arrive late and in messy spreadsheets, so the revenue a buyer will pay for depends on whether promotions and chargebacks were accrued properly; expect a buyer to rebuild net revenue by customer.

Then food safety and the shelf: open audit findings, a past recall, one large retailer that takes most of the volume, and formulas held by a co-packer or a founder. Each comes with documents, and filing them early leaves the exclusivity period for closing.

How long does it take to set up a room for a food and beverage sale?

About 3 minutes with the standard checklist. It already asks for the Top 10 Customer Contracts, the Top 10 Supplier & Vendor Contracts, Trademark, Patent & Copyright Registrations, the Inventory Valuation Report, Environmental & Health Permits and the Professional Liability (E&O) / Product Liability Policy. Add food safety and trade-spend items from your own Excel list. From there it’s fully customizable for any lower-middle-market deal up to $50 million: phases and dates, who can download, and when each buyer’s access ends. The free due diligence checklist is the same standard checklist, as an Excel download.

What does it cost?

Plans start at $79 a month, billed yearly (founding price). The firm that opens the room pays. Invited buyers, sellers, owners and their teams are always free and unlimited. Every plan and price, or see ClosingVault next to seven low-cost data rooms, step by step.

Food and beverage manufacturing data room questions

I own a $16 million specialty sauce company with a co-packer and two big retail accounts. What will a strategic buyer want first?

Expect requests for sales and trade spend by customer, the retail and co-packer agreements, your food safety audit reports and your trademark registrations. The standard checklist already asks for the Top 10 Customer Contracts, the Top 10 Supplier & Vendor Contracts and Trademark, Patent & Copyright Registrations.

Our food safety audits go back years. Will a new report replace the old ones?

Only a clearly newer copy for the same period becomes the current version; reports for different periods are each filed by date. When it isn’t sure, it asks.

We’re selling to a competitor. Can they read our formulas without downloading them?

Yes. You decide person by person who may download; everyone else reads in a viewer stamped with their name and the time, with printing and copying suppressed.

I’m a broker and my seller’s retailer deduction spreadsheets are a mess. Will the room clean them up?

It files them; it doesn’t fix them. Each spreadsheet is filed by topic and period and stays a spreadsheet, and making the numbers reconcile is still your team’s analysis.

My two sisters and I each own a third of the company. How many of us must approve an LOI?

Two of you. An LOI needs owners holding more than half of the whole company, and any two thirds together are more than half.

How long does it take to set up a room for our sale?

About 3 minutes with standard defaults. After that every part is customizable, from the checklist to who can download.
