AI and deal analysis
Why your data room shouldn’t do your analysis
Because you can’t see what it’s based on. A data room’s AI analysis comes from a model you didn’t choose, with assumptions, a period and an objective you can’t inspect, and you would be betting millions that the vendor got them right. Deal analysis is yours, or your QoE provider’s and advisor’s. ClosingVault’s AI organizes, never opines: it files and finds documents, and you bring the analysis.

Organizes, never opines: ClosingVault’s AI files and finds documents. It never writes an answer, a summary or a view of the deal.
What can’t you see behind a data room’s AI analysis?
Almost everything that decides the answer:
- The model. Which one, which version, and whether it changed since the last time you asked.
- The assumptions. Which add-backs it accepted, what it treated as one-time, and how it read a lease or a customer contract.
- The period. Trailing twelve months, the last fiscal year, or whatever happened to be in the room when you asked.
- The objective. What the vendor tuned it to produce, and what it was told to leave out.
- The gaps. Which documents it couldn’t read, skipped or never had.
A number with none of that attached isn’t analysis you can rely on. It’s an answer you can’t check.
What are you betting on a vendor’s analysis?
The price of a company is millions of dollars. Would you bet it on a model you can’t see?
Who should do the deal analysis?
You, and the people you hired for it: your QoE provider, your attorney, your lender, your advisor. They know your objective, they show their work, and they put their name on it. A vendor’s AI does none of the three.
ClosingVault gives each of them exactly the access you grant, and records what each one opened or downloaded in a hash-chained activity log.
What does ClosingVault’s AI do instead?
It organizes the room, so your analysis starts from complete, correctly filed documents.
- Files every document, scans included, under the checklist item it answers, and ticks the item.
- Shows what is still missing.
- Picks from fixed choices (which folder, which checklist item, which date) and never writes text.
- Ask the Data Room returns documents, not prose: it never answers in its own words, never says whether a deal is good, and finds only documents the person asking is allowed to see.
- Your documents never train an AI model.
Every detail of what the AI does and never does: AI data room.
What’s coming: can the analysis model I trust read the room?
Coming soon
An MCP connection, so the analysis model you built and trust reads the room’s documents directly, with the room’s permissions respected: it reads only what the person connecting it is allowed to see.
- Included with Professional.
- Available as an add-on for Starter and Plus.
MCP (Model Context Protocol) is an open standard for connecting AI models to the data they work on. Your model, your assumptions, your objective: the room supplies the documents, never the conclusion. It isn’t available yet.
AI and deal analysis questions
I’m a search funder and a data room vendor offered AI financial analysis of my
target — why wouldn’t I use it?
Because you can’t see the model, assumptions, period or objective behind it, and you would be betting the purchase price that the vendor got them right. Use analysis that you or your QoE provider can show the work for.
I’m the buyer’s attorney — does ClosingVault’s AI summarize documents or flag
risks?
No. ClosingVault’s AI organizes, never opines: it files and finds documents and never writes summaries, risk flags or answers in its own words.
I’m selling my company — will ClosingVault’s AI tell buyers my business is risky?
No. ClosingVault’s AI never says whether a deal is good and never writes about your documents; it files them and finds them for the people you let in.
I’m a business broker — can buyers ask ClosingVault questions about the company?
They can ask Ask the Data Room to find documents, and it returns the documents, not prose. It finds only documents the person asking is allowed to see.
Our QoE firm has its own models — can they work from the documents in the room?
Yes. Invite them and they get exactly the access you grant, on the room’s hash-chained activity log. Coming soon, an MCP connection will let a model you trust read the room’s documents directly.
When will the MCP connection be available, and which plans get it?
It is coming soon; there is no date yet. It will be included with Professional and available as an add-on for Starter and Plus.
I’m a buyer in a broker’s room — would an MCP connection let my model read
documents I can’t see?
No. The connection is planned to respect the room’s permissions, so a model reads only what the person connecting it is allowed to see.
I’m a lender reviewing a borrower’s data room — does ClosingVault train AI on
those documents?
No. Your documents never train an AI model, and the classification service ClosingVault uses doesn’t train on customer documents.
